ANNUAL REPORT FEE<br /> <br /> Present law provides that the annual report fee that must be collected by the secretary of state when delivering an annual report is $20. This bill increases the fee to $500. <br /> <br /> LLC ANNUAL FEE<br /> <br /> Present law requires the secretary of state to collect from each LLC or foreign LLC, if applicable, an annual fee equal to $50 per each LLC member in existence on the date of the initial filing, and each year thereafter based on the number of LLC members in existence on the date of the filing for the annual report, with a minimum fee of $300 and a maximum fee of $3,000. If the LLC is prohibited by its articles from doing business in Tennessee, the filing fee is $300 regardless of the number of members in existence on the date of filing.<br /> <br /> This bill increases to $500 the minimum fee that must be paid by an LLC after the initial filing year. Additionally, this bill increases the filing fee to $500 for an LLC that is prohibited by its articles from doing business in Tennessee regardless of the number of members in existence on the date of filing. <br /> <br /> LLC CERTIFICATE OF AUTHORITY OR AUTHORIZED TO TRANSACT BUSINESS FEE<br /> <br /> Present law requires the secretary of state to collect from each domestic LLC and each foreign LLC that is applying for a certificate of authority or is authorized to transact business in this state, as applicable, an initial filing fee in an amount equal to $50 multiplied by the number of members of the domestic or foreign LLC, as specified in the articles of organization or application for certificate of authority, as applicable, and each year thereafter an annual filing fee in an amount equal to $50 multiplied by the number of members of the domestic or foreign LLC, as specified in the annual report; provided, however, that the amount of each initial filing fee and annual filing fee required is no less than $300, and no more than $3,000. If the LLC is prohibited by its articles from transacting business in this state, the amount of the initial filing fee or the annual filing fee, as applicable, required is $300 regardless of the number of members of the LLC, as specified in the articles of organization or the annual report; provided, further, that the secretary of state must collect from each domestic and foreign LLC an additional filing fee of $20.00, for any annual report that sets forth any change of the registered office or registered agent of the domestic or foreign LLC.<br /> <br /> This bill increases to $500 the minimum fee that must be paid by an LLC after the initial filing year. Additionally, this bill increases the filing fee to $500 for an LLC that is prohibited by its articles from doing business in Tennessee regardless of the number of members of the LLC, as specified in the articles of organization or the annual report.<br /> <br /> LIMITED LIABILITY PARTNERSHIP<br /> <br /> Present law requires a partnership registered under present law to pay, in each year following the year in which its application is filed, on a date specified by the secretary of state, an annual fee of $50 for each partner on the date of filing, subject to a minimum of $250 and a maximum of $2,500. This bill increases to $500 the minimum fee a partnership registered under present law must pay each year following the year in which its application is filed.<br />
